The Jove App and Services are provided by Urban Access Solutions Company Limited(referred to as I, me, my, mine and myself) at EV Charging Facilities (as defined below). By using the Services, you are deemed to have read, understood and agreed to be bound by these Terms and Conditions, the PICS and the Privacy Policy. If you do not agree to be bound by these Terms and Conditions, you will not be able to use the Jove App or Services.
1 Definitions and interpretations
Unless otherwise defined, these terms should have the following meanings:
1.1 "Application” or “Jove App” means any and all versions (including, if any,updates, upgrades, beta versions or any combination of them) of the mobile application, software or program (currently named as “Jove”) in any form, format, media and medium, and all websites, micro-sites, software, computer programs, mobile apps and systems and, for such sites, programs andsystems, any other combination of online, digital, electronic and interactiveplatforms (including front-end and back-end systems), and any Derivative Workscreated from or of them, whether conceived or existing before or after the dateof these Terms and Conditions.
1.2 “Derivative Works” means any work created from, based on or derived from the existing works (or any of them) concerned, including modifications, improvements, compilations, annotations and translations.
1.3 “EVCharging Facilities” means the locations (such as carparks) listed by me fromtime to time where EV charging station(s) are located.
1.4 “Required Information” means the type of information you are required to provide me during registration for the Services on the Jove App as further specified in clause 7 (the PICS). Required Information includes your name (as used on your credit card, your payment platform account and/or car registration), email address, mobile phone number, registered license plate number (also referred to as a “vehicle registration mark”), Jove App identification number (as applicable) and your payment platform account information,your credit card number, CVC/CVV number and expiration date.
1.5 “Services” means a service feature offered through the Jove App (with or without the use of [JoveCash] and/or a payment kiosk) for reporting the EVcharging fees due and collecting payment of those EV charging fees after a User’s EV is charged at an EV Charging Facility.
1.6 “Transaction” means a charge for payment of:
1.6.1 the EV charging fees;
1.6.2 in respect of your use of the Services at a Pay-on-exit Facility only, the applicable parking fees;
1.6.3 in respect of your use of EV Reservation only, the applicable reservation fee;
1.6.4 the penalty (or idle fees), if any, for parking in an EV charging station:
1.6.4.1 without a reservation;
1.6.4.2 without using the EV charging services;
1.6.4.3 after the EV charging session has finished; or
1.6.4.4 any combination of the above, and, by doing so, preventing others from using that EV charging station.
1.7 “User” means a person registered to use the Jove App and Services.
1.8 In these Terms and Conditions, unless stated otherwise:
1.8.1 references to the words “include” and “including” are to be construed asillustrative and without limitation;
1.8.2 the use of the words “must” or “should” in relation to an action, consideration or measure indicates that it is a mandatory requirement;
1.8.3 references to clauses are to clauses of these Terms and Conditions; and
1.8.4 words importing the singular include the plural and vice versa.
2 Registration and activation
2.1 The Service is only available to Users registered to use the Services. The Services are available through:
2.1.1 the Jove App (Users must also be registered to use the Jove App); and
2.1.2 Jove payment kiosks which may be available at certain EV Charging Facilities. User of a Jove payment kiosk requires your input of the Required Information and your agreement to be bound by these Terms and Conditions, the PICS and the Privacy Policy. Use of a payment kiosk does not require the download of the Jove App or registration as aUser of the Jove App.
2.2 To register as a User of the Services, you must submit the Required Information on the registration form for the Services in the Jove App (or at a Jove payment kiosk) and agree to these Terms and Conditions. By applying for registration of the Services, or by using a Jove payment kiosk, you agree and confirm I can contact you using your Jove App account (as applicable) or directly using your Required Information.
2.3 By submitting your application for registration of the Services, or by using a Jove payment kiosk, you warrant that:
2.3.1 you are the owner (or a duly authorised driver (i.e., listed on the vehicle’s insurance policy)) of the registered license plate number as provided in your Services application or as entered through a Jove payment kiosk;
2.3.2 you are (i) the holder (or a duly authorised signatory) of the credit card; and/or (ii) the owner of your designated payment platform account detailed in your Services application or as entered through a Jove payment kiosk;
2.3.3 any information you provide to me, including your personal information, is accurate, complete and up to date; and
2.3.4 you will provide me with updates to any information you previously provided if that information changes.
2.4 By submitting your application for registration of the Services, or by entering the Required Information at a Jove payment kiosk, you agree and give me your consent to:
2.4.1 pass your registered license plate number as provided in the Required Information to the relevant EV Charging Facilities;
2.4.2 receive your registered license plate number from the relevant EV Charging Facilities;
2.4.3 use your credit card information, including your name, credit card number, CVC/CVV number and expiration date or your account information including account ID, transaction details, etc. of your payment platform account, to share the information with your credit card company, your credit card issuer, your payment platform operator or my payment gateway provider, as applicable, and to conduct Transactions. This credit card or payment platform account information will never be stored by me. Your credit card company, your credit card issuer, your payment platform operator or my payment gateway provider, as applicable, may provide me with a token to identify you and with which I can track your transactions for reporting and other purposes detailed below;
2.4.4 to use your mobile device identification number to identify you and your activities related to the Transactions and Services; and
2.4.5 use your Jove App User identification number (as applicable) to identify you and your car to provide the Services and conduct Transactions.
2.5 Each EV Charging Facility may have separate terms and conditions which you should read carefully, and you should confirm that you agree to those additional terms and conditions before use. I do not accept any liability resulting from the terms and conditions issued by an EV Charging Facility used by you or if any such EV Charging Facility fails to appropriately provide its services or meet its obligations or responsibilities.
2.6 I may suspend or terminate your Jove App account or Services account, as applicable, if it is inactive for more than 180 days.
2.7 A registered license plate number may be registered under more than 1 User at a time, and a User can have only 1 registered license plate number registered with the Services at a time. You must de-register your registered license plate number before you can register a different registered license plate number with your Jove account or Services account.
2.8 It is your responsibility to enable the push notification setting on your mobile device and to provide me with notice of any changes to your Jove App account (in particular, any changes to your Jove App identification number) in order to timely receive notices regarding the Services. I will contact Users using push notifications, in-app messages or both. You should never respond to any messages or phone calls that appear to be from me asking you to provide your account or security details. You will be considered to have received any notice given by me immediately after the notice has been sent via push notification or in-app message. Push notification messages are sent to your mobile devices through third-party messaging services. Any delay or failure in delivering the notifications due to the third-party messaging services is beyond my control. In-app messages are sent through the Jove App. Any delay or failure in delivering the notifications due to connectivity issues with the Jove App is beyond my control. I must not be liable for any loss or for any other consequences suffered or incurred by you in relation to the delay or failure in receiving the notifications. I must not be liable for any loss or for any other consequences suffered or incurred by you in relation to the delay or failure in receiving the notifications sent by push notification or in-app message.
2.9 You may apply for cancellation of the Services at any time through the Jove App provided that there is no outstanding payment due.
2.10 I may immediately suspend your Jove account or Services account if there is any outstanding payment due and unpaid.
2.11 I will terminate the Services immediately if I receive notice that your designated payment method has been terminated, cancelled, expired or is otherwise no longer valid.
2.12 In addition to clauses 3.8 and 3.10 below, and such other provisions as expressly provided in these Terms and Conditions, I reserve the right to cancel, terminate or suspend the Services, the Jove App or both at any time without specifying the reasons. I will take reasonable steps to minimise any inconvenience caused to you by such cancellation, termination or suspension.
3 Payment for Transactions
3.1 Except as otherwise stated in these Terms and Conditions, once payment for a Transaction is processed, the amount will be charged and paid via your designated payment method in your Jove account (including but not limited to, debiting your credit card or your [JoveCash] balance) or at a Jove payment kiosk. All payments are non-refundable and irreversible.
3.2 Pay-on-exit
3.2.1 For certain designated EV Charging Facilities (“Pay-on-exit Facilities”), the payment for a Transaction is processed and charged, upon your exit from the Pay-on-exit Facility using your selected entry method for your entry into such Pay-on-exit Facility. All payments are non-refundable and irreversible.
3.2.2 You must register your entry method for your entry into a Pay-on-exit Facility and your registered license plate number in the Jove App before using the Services in the Pay-on-exit Facility, failing which may result in denial of use of the Services at the Pay-on-exit Facility.
3.2.3 You must ensure that there is sufficient payment limit in the account of your selected entry method before using the Services and parking at the Pay-on-exit Facility and attempting to pay any outstanding amounts for the EV charging and parking at the Pay-on-exit Facility. If the account of your selected entry method is insufficient to settle a Transaction, I may charge any such outstanding amounts to your other payment method(s) registered under your Jove account.
3.3 I am responsible for calculating the amount of any Transaction and the amount payable for any Transaction displayed on the Jove App or a Jove payment kiosk(as applicable) will be considered final and conclusive. For the Services, you will need to:
3.3.1 use the Jove App to use the Services at the EV Charging Facility;
3.3.2 use a Jove payment kiosk, if available, to use the Services at the EV Charging Facility; or
3.3.3 enter your registered license plate number at the parking redemption in the EVCharging Facility.
Where EV charging fees are calculated by the amount of electricity consumed, for any charge amount less than 1 kWh, the full price of 1 kWh will be applied. Where EVcharging fees are calculated by the amount of charging time, if the actual charging time is shorter than the selected charging session(s), the full price of the selected charging session(s) will be applied. Penalty (or idle fee) will be charged for parking in an EV charging station without using the EV charging services or for not removing your vehicle from the EV charging station within the specified grace period as displayed on the Jove App after the charging session has been completed.
3.4 You should contact the relevant EV Charging Facility in relation to:
3.4.1 any car-parking related matters; or
3.4.2 any other goods and services offered or provided by the relevant EV Charging Facility.
3.5 [JoveCash]
3.5.1 [“JoveCash”] is a record in your Jove account of credit balance available for the sole purposeof redeeming exclusively for your use of the EV charging services via the JoveApp at the EV Charging Facilities within Hong Kong.
3.5.2 You may top up [JoveCash] by making a payment through the Jove App. [JoveCash] credit balance represents mere prepayment for the EV charging services through the Jove App. No interest or any other benefit will accrue on [JoveCash] credit balance.
3.5.3 I may be unable to, or I may refuse a request to, top up your [JoveCash] credit balance, for my compliance with applicable laws and regulations. I may also impose limits on the amount you may top up to your [JoveCash] credit balance, and may change such limits in my sole discretion and at any time without priornotice.
3.5.4 [JoveCash] credit balance may not be immediately reflected and/or accessible for use after your top up and could be subject to a delay before becoming reflected in your account and/or accessible.
3.5.5 [JoveCash] is redeemed against the relevant Transaction amount at the redemption rate displayed in Jove App when you choose [JoveCash] as your designated payment method. I may adjust the redemption rate from time to time and will provide reasonable prior notice through Jove App or my website. A minimum [JoveCash]credit balance of HK$[100] is required to initiate a charging session.
3.5.6. If your[JoveCash] credit balance is insufficient to cover for a Transaction, I may charge any such outstanding amounts to your other payment method(s)registered under your Jove account.
3.5.7 [JoveCash] is not redeemable for cash, cannot be withdrawn or returned for a cash refund or as a credit to an alternative payment method, and cannot be resold, exchanged or transferred for value, except as required by laws.
3.5.8 Your [JoveCash] credit balance is personal and bound to your Jove account and is non‑transferable, non‐assignable, and cannot be used by anyone else.
3.5.9 [JoveCash] may be subject to an expiration date which will be communicated to you via Jove App, my website, and/or in specific terms and conditions applicable to such [JoveCash] top up. Such expiration date will also be displayed in Jove App.
3.5.10 I reserve the right to suspend your access to and/or use of [JoveCash] where: (i) I reasonably suspect unauthorized or fraudulent use of [JoveCash] credit balance, or that security of your Jove account and/or [JoveCash] credit balance is compromised; (ii) you have, or are likely to breach these Terms and Conditions, or other terms applicable to your use of Jove App and/or my website; (iii) you have, or are likely to, breach any applicable law while using [JoveCash]; (iv) required or permitted by applicable laws. I will notify you of such suspension in advance where possible, or at the latest immediately thereafter. I will not notify you of the suspension if this would compromise reasonable security measures or if this is prohibited by applicable laws. I will reactivate your access to and/or use of [JoveCash] once the reasons for suspension no longer exist.
3.5.11 You agree to notify us immediately upon becoming aware of any fraudulent activity or theft or unauthorised use involving your [JoveCash] credit balance.
3.5.12 I may request information from you to confirm your identity, before you use [JoveCash], and I may also request from you for additional information or documents to verify your information from time to time. I may delay, suspend or block your access to and use of [JoveCash] until you comply with these information requests or other verification steps that may be required by me at any time.
3.5.13 Any [JoveCash] credit balance will be forfeited in the event that your Jove account is cancelled or terminated pursuant to these Terms and Conditions.
3.6 After each successful Transaction you will receive a record of payment sent via a push notification, text message, in-app message, email or some combination ofthem to your mobile device which serves as a confirmation of such payment. Youmust enable push notifications on your mobile device to ensure you receive the Transaction record. A record of payment may also be available in the “History” tab in the Jove App.
3.6.1 If you choose the option ‘charge to full capacity’, you will be automatically charged via your designated payment method once the process is completed. Payment notification will be sent to you via SMS text message, in-app message, email or some combination of them.
3.6.2 If you choose the option ‘partially charge’, you will be charged via your designated payment method after the option ‘stop charging and pay’ is chosen. Payment notification will be sent to you via SMS text message, in-app message, email orsome combination of them.
3.6.3 Your designated payment method will be charged if a penalty (or idle fees) is imposed on you for parking in an EV charging station without using the EV charging services orfor not removing your vehicle from the EV charging station after the charging session has been completed. Payment notification will be sent to you via SMS text message, in-app message, email or some combination of them.
3.7 You must ensure that there is sufficient payment limit in the account of your designated payment method before using the Services and attempting to pay any outstanding amounts for the Services. If your designated payment method is insufficient to pay for a Transaction, I may charge any such outstanding amounts to your other payment method(s) registered under your Jove account. Payment notification will be sent to you via SMS text message, in-app message, email or some combination of them. Charging session may be immediately terminated if your designated payment method account is anticipated to be insufficient to pay for the relevant Transaction.
3.8 Any amount owed for a Transaction will become immediately due and payable. At my sole discretion, your use of the Services will be suspended until full settlement of all outstanding amounts.
3.9 You may receive a payment reminder from me via push notification, SMS text message, in-app message, email or some combination of them in respect of any issues regarding settlement of any amount owed for a Transaction.
3.10 If any amount of a Transaction remains outstanding for 15 days or more, without prejudice to other rights and remedies available to me, I reserve the right to terminate the Services, any of my other services or any combination of them.
3.11 In case of any disputes regarding your payment, you may contact my customer service for assistance (see clause 3.14 for contact information).
3.12 If I cancel or terminate your Jove account for any reason, I reserve the right todeny the use of your credit card, your payment platform account and/or registered license plate number registered with your cancelled or terminated Jove account with an existing Jove account or for a new application for the Services or anew Jove account.
3.13 If you believe that the Services were terminated, cancelled or suspended wrongly or in error, you may my contact customer service (see clause 3.14 for contact information).

4. Your responsibilities
4.1 You are responsible for keeping all information, including the Required Information provided to me, up to date. You should apply for cancellation of the Services in the event of change of ownership of the registered license plate number registered for the Services or revocation of grant of the registered license plate number by the applicable authority for whatever reason, as the case may be.
4.2 You are solely responsible for ensuring EV charging at an EV charging station is carried out safely and in accordance with any instruction or guidance provided by me and/or the operator of the EV Charging Facilities and avoiding causing injury to any person or damage to any property in connection with your use ofthe EV charging services and the EV charging stations. Specifically, you must ensure that:
4.2.1. your vehicle is in good condition and suitable for carrying out EV charging safely at an EV charging station;
4.2.2 the charging cord has been securely plugged into the EV charging station before starting the charging session;
4.2.3 you must follow the instructions on the Jove App to terminate a charging session;and
4.2.4 the charging cord must be safely disconnected from the EV charging station before removing your vehicle from the EV charging station.
4.3 If you become aware of any defect or malfunction of an EV charging station, you undertake to refrain from using or immediately and appropriately cease to use the EVcharging station and to notify us and/or the operator of the EV Charging Facility of such defect or malfunction.
4.4 You are solely responsible for and assume all the risks and liabilities arising out ofyour use of the Services, the EV charging services and the EV charging stations including, liabilities for death, personal injury, property damages and other losses and damages suffered or incurred by any person or party. You must indemnify, defend and hold me (and my affiliates, contractors, employees, agents, suppliers, and partners, collectively “we”, “us” “our”, “ours” and “ourselves”) harmless from any and all actions, proceedings, liabilities, claims, loss, damages and reasonable costs and expenses (including all reasonable legal fees) which may be taken against us or which we may suffer, sustain or incur howsoever arising out of or in connection with any inappropriate, misuse or unauthorised use of the EV charging stations, the Services and/or the Jove App.
5 Rules and restrictions for the Services
5.1 Your use of the Service, if any and as applicable, must comply with the rules and terms and conditions for the applicable services (including car parking services) provided by the applicable EV Charging Facility. Each EV Charging Facility participating in the Service may have separate terms and conditions for its applicable services which you should read carefully, and you should confirm that you agree to those terms and conditions before use of those applicable services.
5.2 Your registration for the Services is limited to 1 vehicle and its associated registered license plate number.
5.3 I (or the operator of the EV Charging Facility) may install and use video cameras in or near the EV Charging Facility. Such video cameras will be used:
5.3.1 to capture the registered license plate number of the vehicle using the carpark facilities;
5.3.2 to capture the registered license plate number of the vehicle using a specific EV Charging Station; and
5.3.2 for security purposes.
Your activities, and that of other members of the public, may be recorded, under surveillance or both by such video cameras. The EV Charging Facility operator or I will post and maintain sufficient notices in prominent positions near such video cameras to alert the public or the affected individuals that their activities may be recorded, under surveillance or both by such video cameras.
Any use I make of such video cameras will comply with Personal Data (Privacy) Ordinance (Cap. 486, Laws of Hong Kong) and any other applicable laws, ordinances, regulations and rules as imposed from time to time by any combination of the Hong Kong Government and other competent authorities.
6 Disclaimer of liability
6.1 You agree and acknowledge that the operators of EV Charging Facilities are solely responsible for the provision of goods and services they offer or provide (including car parking services). I must have no liability to any person whatsoever in respect of any goods, services or any combination of them offered or provided by any operator of the EV Charging Facility. Each EV Charging Facility has its own rules and terms and conditions of use.
6.2 Jove App may interoperate or integrate with third-party services, applications, or websites (collectively, “Third-Party Services”), which may provide you with their own content, products, services or functionality, for example, domain services, email services, or marketplaces that facilitate interactions between customers and vendors. Your use of any Third-Party Services is governed solely by the terms, conditions, and policies of the applicable third party. I make no representation, warranty or commitment and will have no liability or obligation whatsoever in relation to the content or use of any Third-Party Services, including any transactions you enter into, or any content, functionality, or security practices provided by such third parties. I do not endorse or approve any Third-Party Services made available via Jove App. You are solely responsible for obtaining rights to use any Third‑Party Services, your configuration and credentials, and any data you chooses to share when accessing or using any Third‑Party Services. You further agree that I may, at any time and at my sole discretion, and without notice, suspend, disable, or remove any integration with Third-Party Services. To the fullest extent permitted by law, I will not be liable to you for any such suspension, disabling, or removal, including but not limited to any loss of profits, revenue, data, goodwill, or other intangible losses arising therefrom.
6.3 The output power of the EV charging station as displayed in the Jove App is for reference only. The actual charging output power and charging speed may vary depending on various factors including but not limited to, the model of the electric vehicle, the supported power of the electric vehicle, the configuration inside the electric vehicle, the battery settings, the state of charging of the battery and the state of any power connector used.
6.4 I do not warrant that my Services will be uninterrupted or error free, or that all non-material defects will be corrected. The Services and the Jove App are provided to you on an “asis” basis. To the extent permissible by law, I disclaim any all representations and warranties, whether express or implied, oral orwritten, with respect to the Services and/or the Jove App, including but not limited to, all implied warranties of title, non-infringement, quiet enjoyment, accuracy, integration, merchantability or fitness for any particular purpose, and all warranties arising from any course of dealing, course of performance orusage of trade.
6.5 I hold no responsibility for any inappropriate or unauthorised use of your registered license plate number, your credit card, your payment platform account information or any combination of them in respect of the Services (including [JoveCash])and you remain liable for any and all payments incurred arising from or inconnection with any such inappropriate or unauthorised use.
6.6 I hold no responsibility for any abnormal and unforeseeable circumstances beyond our control, including but not limited to system errors, unavailability, orunauthorized access, the consequences of which would have been unavoidable despite our efforts to the contrary, or where we are bound by other legal obligations covered by applicable laws.
6.7 To the extent permissible by law, I must not be liable, whether in contract (includingintentional breaches), tort (including negligence) or otherwise, for any lossor damage of any kind whatsoever (including consequential, incidental, special, indirect, punitive or exemplary loss or damage) arising from or in connection with the use of the Services and/or the Jove App (with or without the use of [JoveCash]or of any Jove payment kiosk). To the extent permissible by law, my aggregate liability arising out of or relating to these Terms and Conditions (whether in contract, tort (including negligence), strict liability, at law, in equity orotherwise) must not exceed the total amount of the Transaction at issue or HK$10, whichever is greater.
7 Personal information collection statement (PICS)
7.1 To enable us to provide the Services to you, you agree that I can collect, hold, process and use your personal information and other information (“Required Information”). If you do not agree to provide the Required Information to me, I may not be able to provide you with the Services you request. The Required Information should also include other data, including mobile device identification number, IP (internet protocol) address and domain name which may be collected during your use of the Services. The Required Information will be handled in accordance with these Terms and Conditions (which includes the PICS) and the Privacy Policy which is posted on my website.
7.2 You agree that I may collect, use, process, retain, disclose or transfer any of the Required Information for one or more of the following purposes:
7.2.1 providing the Services to you;
7.2.2 maintaining and operating the Services;
7.2.3 processing billing and payment for Transactions;
7.2.4 to contact you about the Services or specific Transactions;
7.2.5 handling or responding to your enquiries, feedback, claims or disputes and communicating with you regarding such matters;
7.2.6 improving and expanding my offerings and providing you with a more personalised experience regarding the Services;
7.2.7 conducting searches at the Hong Kong Transport Department or other relevant governmental departments and authorities for serving demand and legal documentation in relation to the recovery of any outstanding payments for Transactions or otherwise;
7.2.8 collecting moneys due from outstanding payments for Transactions or otherwise; and
7.2.9 reporting on the Services and Transactions to the relevant operators of EV Charging Facilities (which may include audits of the Services);
7.2.10 performing research, surveys, data sorting or analysis, to allow me to better understand how you and my collective user base for the purpose of improving my services;
7.2.11 to contact you about promotions and offers related to the Services and EV charging services provided at EV Charging Facilities;
7.2.12 making such disclosures as may be required by any law or regulation of any country applicable to any combination of me, my parent companies, government officials or other third party to which I have contractual or regulatory obligations. Disclosures may also be made pursuant to any subpoena, court order or other legal process or requirement in any country applicable to me or my parent companies;
7.2.13 making any disclosure to prevent any harm or financial loss, to report any suspected illegal activity or to deal with any claim or potential claim brought against me, my parent companies or other third party to which I have contractual or regulatory obligations;
7.2.14 enabling any due diligence and other appraisals or evaluations for actual or proposed merger, acquisition, financing transactions or joint ventures;
7.2.15 any other legitimate business purposes, such as protecting you and my other users from losses, protecting lives, maintaining the security of my systems and products, and protecting any of my other rights, properties or both;
and
7.2.16 any other purposes directly relating to the purposes listed above.
7.3 I may share your Required Information for the purposes of providing the Services to you and maintaining and operating the Services. The Required Information I may share includes:
7.3.1 registered license plate number with the operators of the EV Charging Facilities;
7.3.2 your payment platform account information (e.g. account ID or number) (if one is registeredfor your Services account as part of the Required Information) to conduct and report Transactions;
7.3.3 your credit card information (if one is registered for your Services account as part of the Required Information), including your name, credit card number, CVC number and expiration date, with your credit card company, your credit card issuer or my payment gateway provider (currently Nuvei Technologies Corp.), as applicable, and to use such information (which is never stored by me) to conduct and report Transactions;
7.3.4 a token provided by your credit card company, your credit card issuer or my payment gateway provider, as applicable, to identify you to conduct and report Transactions;
7.3.5 information from either your credit card company, your credit card issuer, your payment platform operator, my payment gateway provider or other relevant payment processers and facilitators, as applicable to conduct and report Transactions;
7.3.6 your mobile device identification number to conduct and report Transactions and operate the Services; and
7.3.7 your MTR Mobile User identification number to operate the Services and to conduct and report Transactions.
7.4 Your Required Information will be kept confidential by me, but you agree that for the purposes set out in clauses 7.2 and 7.3 above, I may transfer or disclose, under a duty of confidentiality to me, such Required Information to:
7.4.1 with your credit card company, your credit card issuer, your other Registered Payment Method company (e.g., Apple Pay, etc.) or my payment gateway service provider (currently Nuvei Technologies Corp. with offices in Canada, Singapore and the United States, among other locations). Apple Pay may process and store personal data in the United States and the Republic of Ireland;
7.4.2 my agents or contractors who provide data processing or other services in connection with the operation of my business (such as professional advisors, call centre service providers, debt collection agencies (in the event you owe me any money), courier or data entry companies); and
7.4.3 the operators of the EV Charging Facilities.
The above agents and contractors and the operators of the EV Charging Facilities are located within Hong Kong except for those supporting data entry and processing and payment gateway providers and relevant payment processers and facilitators which may be located outside Hong Kong.
7.5 Access: You have the right to:
7.5.1 check whether I hold your Required Information and to have access to that Required Information;
7.5.2 require us to correct any Required Information which is inaccurate; and
7.5.3 ascertain our policies and practices in relation to the Required Information and to be informed of the kind of Required Information held by us.
7.6 I may charge you a reasonable data access fee for complying with any request for access to your personal data and other information that I may collect. You can learn my current data access fee and whether it will be charged for your request by contacting my Data Protection Officer.

8 Amendments
I reserve the right to amend these Terms and Conditions from time to time without prior notice and your use of the Services following any such amendments constitutes your agreement to be bound by these Terms and Conditions.
9 Governing law and jurisdiction
These Terms and Conditions must be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”). Each of us irrevocably agree that the courts in Hong Kong shall have exclusive jurisdiction to settle any dispute or claim (whether contractual or non-contractual) arising out of or in connection with these Terms and Conditions, its subject matter or formation.
10 Contracts (Rights of Third Parties) Ordinance
Any legislation giving rise to or conferring on third parties contractual or other rights, including The Contract (Rights of Third Parties) Ordinance (Cap. 623, Laws of Hong Kong), must not apply to these Terms and Conditions and no third party will have any rights under them. Nothing in these Terms and Conditions must affect the rights of any permitted assignee or transferee of these Terms and Conditions.
11 English version prevails
I have provided a Chinese language translation of these Terms and Conditions for reference only. If there is any inconsistency or conflict between the English and any Chinese version, the English version must prevail.
